Jackson’s practice focuses on commercial real estate transactions and financing, along with general corporate and tax matters for exempt organizations and other clients. He represents owners, developers, and investors in acquisitions, dispositions, joint ventures, and leasing, as well as the financing of projects across asset classes. Drawing on his background in public finance and experience as in-house counsel, Jackson helps clients structure and execute transactions that align business goals, regulatory compliance, and long-term investment strategy.

Jackson brings a well-rounded perspective to commercial real estate, shaped by his experience in both private practice and in-house roles supporting complex institutional and development projects. He advises clients in all phases of the real estate lifecycle—from acquisition and financing to development and disposition—combining practical deal insight with a strong understanding of the financial and regulatory frameworks that underpin successful projects.
Before joining Upshaw & Ware, Jackson practiced in the Public Finance, Tax Incentives, and Credit Markets Group at Butler Snow LLP, where he represented developers, investment banks, local governments, and nonprofit organizations in tax-exempt and taxable bond financings. His work involved drafting and negotiating trust indentures, loan and lease agreements, offering documents, and related financial instruments, while also leading due diligence efforts and engaging with local governments and community stakeholders throughout the financing process. This experience gives Jackson a unique command of the capital structures and compliance considerations that often intersect with commercial real estate development.
Jackson also served as Counsel to the University of Georgia Foundation and Assistant General Counsel to the University of Georgia’s Division of Development and Alumni Relations, where he advised on contracts, governance, tax, and compliance matters. He regularly worked on transactions involving gifts and sales of real property, negotiated grant and fund agreements with corporate and philanthropic partners, and counseled leadership on risk mitigation and regulatory compliance. That experience deepened his understanding of how investment, tax, and mission-driven objectives converge in real estate and development transactions.
Jackson is a proud "Double Dawg" and earned his undergraduate degree and JD from the University of Georgia. During law school, he was actively involved in the Business Law Society, the Real Estate Law Society and the Christian Legal Society, served as a Dean's Ambassador, and was a member of the Dean's Advisory Council. Prior to law school, Jackson briefly worked for the University of Georgia's Division of Development and Alumni Relations, where he supported corporate partners of UGA and developed an early appreciation for the relationship between business, law, and higher education.
A Georgia native, Jackson lives in Atlanta with his wife and their young son. Outside of work, he enjoys spending time on the golf course, on the bow of a skiff with a fly rod in hand, or bird hunting with his Wirehaired Pointing Griffon, but most of all, he values time spent with his family. Jackson serves on the Alumni Board at Greater Atlanta Christian School, is a former member of the University of Georgia Young Alumni Leadership Council, and is active in his church. His family is also closely involved with the Therapeutic Riding Program at Chastain Horse Park and with programs supporting the University of Georgia community.

Represented developers and investment banks in the financing of multifamily housing, senior living communities, and traditional municipal finance projects through tax-exempt and taxable bond issuances.
Advised a university foundation on real estate, tax, and compliance issues related to fundraising campaigns, capital projects and investment transactions.
Drafted and negotiated offering documents, trust indentures, loan and lease agreements, and other instruments central to commercial and public real estate projects.
Counseled higher education and nonprofit institutions on compliance and governance matters related to real estate holdings, domestic and international tax issues, corporate governance and investments.

Jackson serves on the Alumni Board at Greater Atlanta Christian School and previously served on the University of Georgia Young Alumni Leadership Council. He is active in his church and, together with his family, is closely involved with the Therapeutic Riding Program at Chastain Horse Park and with programs supporting the University of Georgia community.
